Terms of Service

1. Acceptance of Terms

By accessing or using Arc Cloud ("the Service"), operated by Basekick Labs LLC, a Delaware limited liability company, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

2. Description of Service

Arc Cloud is a managed analytical database built on DuckDB, Parquet, and Apache Arrow. The Service provides HTTP API access to columnar analytical databases across various tiers, including free and paid plans. Features, storage limits, and capabilities may vary by plan.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Each account is intended for use by a single individual. You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Abuse, overload, or interfere with the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorized access to other accounts or systems
• Store, transmit, or process illegal content through the Service
• Resell or redistribute the Service without written permission

5. Free Tier

The Service offers a free tier limited to one database instance per user. The free tier is provided at our discretion and may be modified, rate-limited, or discontinued at any time without prior notice. Abuse of the free tier, including the creation of multiple accounts to circumvent limits, may result in account termination.

6. Paid Plans and Billing

Paid plans are billed via Stripe on a recurring subscription basis. Plan upgrades are prorated for the remainder of the current billing cycle. Storage overage beyond your plan's included allocation is billed separately. Prices are subject to change with at least 30 days' prior notice. You are responsible for keeping your payment information current. Failure to pay may result in suspension or termination of your account.

7. Data Ownership

You retain all rights and ownership of the data you upload or create through the Service. We do not claim any intellectual property rights over your content. By using the Service, you grant Basekick Labs LLC a limited license to host, store, process, and transmit your data solely for the purpose of providing and improving the Service.

8. Service Availability

We provide the Service on a best-effort basis. There is no guaranteed uptime or service level agreement (SLA) at this time. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service interruptions.

9. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, Basekick Labs LLC's total liability to you for any claims arising from or related to the Service is limited to the amount you paid for the Service in the 12 months preceding the claim.

10. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our discretion. You may cancel your account at any time. Upon account closure, your data will be retained for a 30-day grace period, after which it will be permanently deleted. It is your responsibility to export any data you wish to keep before account closure.

11. Intellectual Property

Arc Cloud, Basekick Labs, and all associated branding, logos, and trademarks are the property of Basekick Labs LLC. The Service may include open source software components, which retain their respective licenses. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the State of Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
